  1. Software License
  2.  
  3. This computer program (the "Software") is licensed, not sold, to you by 
  4. Extensis Corporation ("Extensis") for use only under the terms of this 
  5. License, and Extensis reserves any rights not expressly granted to you. 
  6. You own the disk(s) on which the Software is recorded or fixed, but 
  7. Extensis and its licensors retain ownership of the Software itself.
  8.  
  9. 1. License.
  10. This License allows you to use one copy of the Software on a single
  11. computer at a time. To "use" the Software means that the Software is
  12. either loaded in the temporary memory (i.e., RAM) of a computer or 
  13. installed on the permanent memory of a computer (i.e., hard disk, CD-ROM, 
  14. etc.). You may use at one time as many copies of the Software as you have 
  15. licenses for. You may install the Software on a common storage device 
  16. shared by multiple computers, provided that if you have more computers 
  17. having access to the common storage device than the number of licensed 
  18. copies of the Software, you must have some software mechanism which 
  19. locks-out any concurrent users in excess of the number of licensed copies 
  20. of the Software

  22. (an additional License is not needed for the one copy of Software stored 
  23. on the common storage device accessed by multiple computers.) If the 
  24. Software is installed on the permanent memory of a single desktop 
  25. computer (i.e., not a storage device shared by multiple computers) and 
  26. that desktop computer is used by one individual for at least 80% of the 
  27. time the computer is in use, that same individual may also use a copy of 
  28. the Software on a portable or home computer.

  30. You may make one copy of the Software in machine readable form solel for 
  31. backup purposes. The Software is protected by copyright law. As an 
  32. express condition of this License, you must reproduce on each copy of the 
  33. Extensis copyright notice and any other proprietary legends that were on 
  34. the original copy supplied by Extensis.

  36. You may permanently transfer all your rights under this License to 
  37. another party by providing to such party all copies of the Software 
  38. licensed under this License together with a copy of this License and all 
  39. written materials accompanying the Software, provided that the other 
  40. party reads and agrees to accept the terms and conditions of this License.

  42. 2. Restrictions.
  43. The Software contains trade secrets in its human perceivable form and,
  44. to protect them, YOU MAY NOT REVERSE ENGINEER, DECOMPILE,
  45. DISASSEMBLE, OR OTHERWISE REDUCE THE SOFTWARE TO ANY HUMAN 
  46. PERCEIVABLE FORM. YOU MAY NOT MODIFY, ADAPT, TRANSLATE, RENT,
  47. LEASE, LOAN, RESELL FOR PROFIT, OR CREATE DERIVATIVE WORKS BASED
  48. UPON THE  SOFTWARE OR ANY PART THEREOF.

  50. 3. Termination.
  51. This License is effective until terminated. This License will terminate
  52. immediately without notice from Extensis or judicial resolution if you
  53. fail to comply with any provision of this License. Upon such termination
  54. you must destroy the Software, all accompanying written materials, and
  55. all copies thereof. You may also terminate this License at any time by
  56. destroying the Software, all accompanying written materials and all
  57. copies thereof.
  58.  
  59. 4. Export Law Assurances.
  60. You agree that neither the Software nor any 
  61. direct product thereof is being or will be shipped, transferred or 
  62. re-exported, directly or indirectly, into any country prohibited by the 
  63. United States Export Administration Act and the regulations thereunder or 
  64. will be used for any purpose prohibited by the Act.

  66. 5. Limited Warranty and Disclaimer, Limitation of Remedies and
  67.    Damages.
  68. YOU ACKNOWLEDGE THAT THE SOFTWARE MAY NOT SATISFY ALL YOUR
  69. REQUIREMENTS  OR BE FREE FROM DEFECTS. EXTENSIS WARRANTS THE
  70. DISKETTES ON WHICH THE  SOFTWARE IS RECORDED TO BE FREE FROM
  71. DEFECTS IN MATERIALS AND WORKMANSHIP UNDER NORMAL  USE  FOR
  72.  90 DAYS FROM PURCHASE, BUT THE SOFTWARE  AND  ACCOMPANYING
  73.  WRITTEN MATERIALS ARE LICENSED "AS IS".
  74.  
  75. ALL IMPLIED WARRANTIES AND CONDITIONS (INCLUDING ANY IMPLIED
  76. WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR
  77. PURPOSE) ARE DISCLAIMED AS TO THE SOFTWARE AND ACCOMPANYING
  78. WRITTEN  MATERIALS AND LIMITED TO 90 DAYS AS TO THE DISKETTES.
  79.  
  80. YOUR EXCLUSIVE REMEDY FOR BREACH OF WARRANTY WILL BE THE
  81. REPLACEMENT OF THE DISKETTES OR REFUND OF THE PURCHASE PRICE.

  83. IN NO EVENT WILL EXTENSIS OR ITS DEVELOPERS, DIRECTORS, OFFICERS,
  84. EMPLOYEES OR AFFILIATES BE LIABLE TO YOU FOR ANY CONSEQUENTIAL,
  85. INCIDENTAL OR INDIRECT DAMAGES (INCLUDING DAMAGES FOR LOSS OF
  86. BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS
  87. INFORMATION, AND THE LIKE), WHETHER FORESEEABLE OR
  88. UNFORESEEABLE, ARISING OUT OF THE USE OF OR INABILITY TO USE THE
  89. SOFTWARE OR ACCOMPANYING WRITTEN MATERIALS, REGARDLESS OF THE 
  90. BASIS OF THE CLAIM AND EVEN IF EXTENSIS OR AN AUTHORIZED EXTENSIS 
  91. REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH
  92. DAMAGES.
  93.  
  94. Extensis liability to you for actual damages for any cause whatsoever, 
  95. and regardless of the form of the action, will be limited to the greater 
  96. of $500 or the money paid for the Software that caused the damages.
  97. THE ABOVE LIMITATIONS WILL NOT APPLY IN CASE OF PERSONAL INJURY
  98. ONLY WHERE AND TO THE EXTENT THAT APPLICABLE LAW REQUIRES SUCH
  99. LIABILITY, BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION
  100. OR LIMITATION OF IMPLIED WARRANTIES OR LIABILITY FOR
  101. CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATIONS MAY
  102. NOT APPLY TO YOU.
  103.  
  104. 6. General.
  105. This License will be construed under the laws of the State of Oregon,
  106. except for that body of law dealing with conflicts of law. If any 
  107. provision of this License shall be held by a court of competent
  108. jurisdiction to be contrary to law, that provision will be enforced to 
  109. the maximum extent permissible, and the remaining provisions of this 
  110. License will remain in full force and effect. If you are a U.S. 
  111. Government end-user, this License of the Software conveys only 
  112. "RESTRICTED RIGHTS", and its use, disclosure and duplication are
  113. subject to Federal Acquisition Regulations, 52.227-7013 (c) (1) (ii).
